Terms & Conditions
Read each item carefully. Each order you place with Friends Intl. will be subject to the following:

ORDERING: Orders may be placed either through your local sales representative or through the customer service department. All orders are subject to acceptance by Friends Worldwide Inc. Only orders from current dealers in good standing will be accepted. New accounts should contact the area sales representative.

BACKORDERS: If goods are not currently on hand, they will be placed on backorder and will be shipped as soon as available, unless you notify Friends Worldwide Inc. in writing.

SHIPPING ERRORS/DAMAGED GOODS: You must notify Friends Worldwide Inc. of any shipping errors, in writing, within ten days of receipt of shipment. No discussion will be entered into after this period. Direct this notification to our customer service department. All claims for product damaged in shipping must be made directly to the carrier. A return authorization (RA) number must be obtained before any damaged or defective goods are returned. RAs will be good for two weeks after date of issue. All damaged or defective merchandise will be replaced with like products in good condition as soon as possible after receipt and inspection. All merchandise returned without RA number will be refused. Friends Worldwide Inc. will not accept charge-backs for handling, administrative fees, service fees or penalties for "PO Violations" or "Shipping Errors."

RETURNED ORDER POLICY: A restocking charge of 15% will be applied to all canceled or refused orders. If two shipments are refused or canceled, the account will be placed on hold.

TERMS: No orders will be shipped without Friends Intl. receiving a completed dealer agreement form and credit application prior to shipment. Company checks are accepted after an account has been established and the application has been approved. If your account reaches your credit limit, further shipment may be made on a C.O.D. basis until payment is received.

PAYMENTS: When making payments, please be sure that your customer number and invoice number are clearly listed. This will assist us in properly crediting your account and will avoid possible errors. Payments should be mailed to: Friends Intl., PO Box 3488, Newport Beach, CA 92659

INTEREST ON PAST DUE ACCOUNTS: All past due invoices may be charged interest at the rate of 1.5% per month, compounded monthly. Interest may be charged after thirty days.

DELINQUENT ACCOUNTS: After two NSF checks, your account will be placed on a cash only status. In addition, the account will be subject to termination. Each returned check is subject to a $30.00 surcharge. If any invoice is not paid within 30 days of the due date, you will be put on a "no-ship" status and no further shipments will be made until the delinquent balance is paid in full. Also, in the event of repeated delinquencies, Friends Worldwide Inc. may put your account on C.O.D. status. If your account should become delinquent and we cannot otherwise resolve the matter to our satisfaction, Friends Worldwide Inc. may place the account in the hands of a collection agency or attorney for collection. In that event, you will be obligated to pay the full amount of your account, plus interest thereon at the highest rate permitted by law, together with all reasonable attorney's fees, collection agency fees and related expenses incurred by Friends Worldwide Inc.

ORDERING DISCOUNTS: Preseason discounts will be honored only for customers in good credit standing. Customers must maintain this standing throughout the season to keep their discounts. Discounts will be canceled on any shipment if the invoice is not paid within fifteen days of the due date. This includes all preseason discounts and reorder discounts. Discounts are to be deducted from the pre-freight total at the time of payment.

TRANS SHIPPING: No Friends Worldwide Inc. dealer is authorized to resell to any dealer for sale at retail without written approval of Friends Worldwide Inc.

MAIL ORDER CATALOG / INTERNET SALES: No Friends Worldwide Inc. products or implied logo images are to appear in any mail order catalogs or on any internet sites designed for national or major regional sales without the written approval of Friends Worldwide Inc.

SECURITY INTEREST: Friends Worldwide Inc. shall retain a security interest in the products furnished under this agreement and all proceeds thereof until the full purchase price thereof shall have been paid. Buyer hereby agrees to promptly execute, upon Friends Worldwide Inc.'s request and at Friends Worldwide Inc.'s expense, any documentation equipped to protect Friends Worldwide Inc's security interest. Buyers failure to pay any amounts when due shall give Friends Worldwide Inc. the right to possession and removal of the products at any time upon Friends Worldwide Inc's demand. Friends Worldwide Inc. taking of such possessions shall be without prejudice to any other legal remedies Friends Worldwide Inc. may have. In the event of legal action these terms shall be interpreted according to the laws of the state of California. Friends Worldwide Inc. reserves the right to change its Terms & Conditions in any respect at any time.
